Terms of Service

1. Acceptance of Terms

By accessing or using Chameleon Labs, LLC ("Chameleon Labs," "we," "our," or "us") products and services, including QuickStock, RealtyShield, HealthCheck, and AI Chat (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms apply to all visitors, users, and others who access or use the Services. By using our Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.

2. Account Registration

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

3. Subscriptions and Billing

3.1 Free Trials

Some Services offer free trials. At the end of a trial period, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends. You may cancel at any time during the trial without charge.

3.2 Subscription Plans

Paid subscriptions are billed in advance on a monthly or annual basis. Subscription fees are non-refundable except as expressly stated in Section 4. Prices are subject to change with 30 days' notice.

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for all renewal fees.

3.4 Payment Processing

All payments are processed through Stripe. By providing payment information, you represent that you are authorized to use the payment method and agree to Stripe's terms of service.

4. Cancellation and Refunds

4.1 How to Cancel

You may cancel your subscription at any time through your account settings or by contacting us at support@chameleonlabs.ai.

4.2 Effect of Cancellation

Upon cancellation, your subscription will remain active until the end of your current billing period. After that, you will lose access to paid features but may continue using free features if available.

4.3 Refund Policy

Subscription fees are generally non-refundable. However, we may provide refunds or credits at our sole discretion in cases of:

• Technical issues that prevent you from using the Service for an extended period
• Duplicate charges or billing errors
• First-time subscribers who request a refund within 7 days of their initial paid subscription

5. Acceptable Use Policy

You agree not to use the Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Engage in automated data collection (scraping) without permission
• Resell, redistribute, or sublicense the Services without authorization
• Use the Services for illegal, fraudulent, or abusive purposes
• Interfere with or disrupt the integrity or performance of the Services
• Circumvent any technical measures we use to provide the Services

Violation of this policy may result in immediate suspension or termination of your account.

6. Intellectual Property

6.1 Our Intellectual Property

The Services, including all software, designs, text, graphics, logos, and other content, are owned by or licensed to Chameleon Labs and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

6.2 Your Content

You retain ownership of all content you upload to the Services ("User Content"), including inventory data, documents, and conversation history. By using the Services, you grant us a limited, non-exclusive license to host, store, and process your User Content solely to provide the Services to you.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use that feedback without restriction or compensation to you.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any content or information provided through the Services, including AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMELEON LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or data corruption
• Business interruption
• Damages arising from reliance on RealtyShield compliance analysis
• Damages arising from reliance on HealthCheck health assessments
• Damages arising from AI-generated content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO CHAMELEON LABS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Chameleon Labs and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve disputes informally by contacting us at legal@chameleonlabs.ai. We will attempt to resolve the dispute within 30 days.

11.2 Binding Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in St. Louis, Missouri, or remotely at the arbitrator's discretion.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis only and waive the right to participate in class actions, class arbitrations, or representative proceedings.

11.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or misappropriation of trade secrets.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in St. Louis, Missouri.

13. Modifications to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms.

14. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination:

• Your right to use the Services will immediately cease
• You may request export of your data within 30 days
• All provisions that should survive termination will survive, including intellectual property, indemnification, and limitation of liability

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Chameleon Labs regarding the Services.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
